Terms of Service

1. Acceptance of Terms

By accessing or using Chestfolio — including the marketing site at chestfolio.com and, when it launches, the Chestfolio app — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.

These Terms are a legal agreement between you and DevFruit LLC, an Iowa limited liability company and the operator of Chestfolio. References to "we," "us," or "our" mean DevFruit LLC. References to "you" mean the person or entity using Chestfolio.

2. Eligibility

You must be at least 16 years of age to use Chestfolio. By using the service, you represent and warrant that you meet this requirement. If you are under 16, do not use Chestfolio. We do not knowingly provide the service to anyone under 16 or collect their personal information.

3. Description of Service

Chestfolio is a trading card game collection management application that provides offline card scanning, digital inventory tracking, multi-source pricing information, want-list management, portfolio analytics, and related features for collectors.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We may modify, suspend, or discontinue the service or any feature at any time, with or without notice.

4. Accounts & Acceptable Use

When the Chestfolio app launches, you may create an account using your email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the service or its systems.
• Reverse-engineer, decompile, or attempt to extract the source code of the service.
• Scrape, crawl, or systematically download data from the service without our written consent.
• Use the service in any way that could harm, disable, or impair it or interfere with other users.
• Misrepresent your identity or impersonate any person or entity.

We reserve the right to suspend or terminate accounts that violate these Terms, without prior notice and without liability.

User Content License

Chestfolio may allow you to submit content, including inventory notes, want-list entries, and card scan images ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant DevFruit LLC a limited, non-exclusive, royalty-free license to host, store, and process it solely to operate and display the Service to you. If you opt in to the "Help improve scanning" setting described in our Privacy Policy, you additionally grant DevFruit LLC a limited license to use reduced-resolution copies of corrected, low-confidence scan images to develop and improve Chestfolio's own card-recognition technology, subject to the retention limits and purge rights described there. This license does not include any right to sell, publicly redistribute, or publish your User Content, and terminates as described in our Data Retention section when you delete your account or disable the setting, except to the extent already reflected in a trained model as disclosed in the Privacy Policy.

5. Subscriptions & Billing

Note: No billing is active at this time. The following terms will apply when the Chestfolio app launches and subscriptions become available.

Plans

• Free: No charge. Access to the free-tier feature set as described on the pricing page.
• Pro — Annual: $72 per year, billed as a single annual charge. Equivalent to approximately $8 per month.
• Pro — Monthly: $8 per month, billed monthly.
• Lifetime: $149, one-time charge. See definition below.

Auto-Renewal

Pro subscriptions (monthly and annual) renew automatically at the end of each billing period at the then-current price for the selected plan. For annual plans, you will receive a renewal reminder by email before the charge occurs. Renewal charges are processed by Stripe using the payment method on file.

Cancellation

You may cancel your Pro subscription at any time through the Stripe Customer Portal, accessible from your account settings. Cancellation takes effect at the end of your current paid billing period. You will retain access to Pro features through the end of the period for which you have already paid. You will not be charged for the next billing period after cancellation.

Lifetime Plan — Definition

The Lifetime plan grants access to Chestfolio for the operational life of the Chestfolio service — meaning for as long as DevFruit LLC continues to offer and maintain the Chestfolio app. "Lifetime" refers to the life of the service, not a personal perpetual guarantee to any individual. This plan does not obligate DevFruit LLC to operate the service indefinitely. If the service is permanently discontinued, Lifetime plan holders will receive advance notice.

Refund Policy

All purchases are final. We do not issue refunds for partial subscription periods, unused features, or change-of-mind cancellations, except as required by applicable law in your jurisdiction. If you believe you are entitled to a refund under applicable law, contact us at hello@chestfolio.com.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVFRUIT LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE CHESTFOLIO, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR CHESTFOLIO EXCEED THE GREATER OF (A) $50 USD OR (B) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Pricing Data Disclaimer

Card prices displayed in Chestfolio are sourced from third-party APIs and market data aggregators, including TCGplayer market data and Cardmarket trends. Prices are estimates provided "as is" for informational purposes only. They are not financial, investment, or tax advice and do not constitute a guarantee of any card's actual value or sale price. We do not guarantee the accuracy, timeliness, completeness, or fitness for any particular purpose of any pricing data. Do not make financial decisions based solely on pricing data displayed in Chestfolio.

8. Dispute Resolution — Binding Arbitration

Informal Resolution First

Before initiating any formal dispute, you agree to contact us at hello@chestfolio.com and give us a reasonable opportunity (at least 30 days) to resolve the dispute informally. Most issues can be resolved this way.

Binding Arbitration

If a dispute cannot be resolved informally, you and DevFruit LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Chestfolio — including questions about the existence, scope, or validity of this arbitration agreement — shall be resolved by binding individual arbitration, not in court, except as provided in the small-claims carve-out below. Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available from the American Arbitration Association at adr.org. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Small-Claims Carve-Out

Notwithstanding the above, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim qualifies for small claims under that court's rules and remains in small claims court. If either party initiates a claim in small claims court that is later removed to another court, the arbitration agreement above shall apply.

Class-Action Waiver

YOU AND DEVFRUIT LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If a court or arbitrator determines that the class-action waiver is unenforceable, the entire arbitration agreement shall be null and void and the dispute shall be resolved in court subject to Section 9 below.

30-Day Opt-Out

If you do not wish to be bound by the arbitration agreement and class-action waiver in this Section, you must notify us in writing within 30 days of first accepting these Terms by emailing hello@chestfolio.com with the subject line "Arbitration Opt-Out." If you opt out, you and DevFruit LLC agree to resolve disputes in the courts described in Section 9. Opting out of arbitration does not affect any other part of these Terms.

9. Governing Law & Venue

These Terms and any dispute arising from or relating to them shall be governed by the laws of the State of Iowa, without regard to its conflict-of-law principles. For any claims not subject to arbitration under Section 8 (including claims properly brought in small claims court), you and DevFruit LLC consent to the exclusive personal jurisdiction of the state and federal courts located in Iowa.

10. Third-Party Trademark Attribution

All third-party brand names, product names, and trademarks mentioned in connection with Chestfolio are the property of their respective owners. Chestfolio is not affiliated with, endorsed by, or sponsored by any of the following parties:

• Pokémon, Pokémon TCG, and all related names are trademarks of The Pokémon Company International. This app is not affiliated with, endorsed, sponsored, or specifically approved by The Pokémon Company International, Nintendo, Game Freak, or Creatures Inc. Pokémon and Pokémon character names are trademarks of The Pokémon Company International.
• TCGplayer is a trademark of TCGplayer.com / TCG Player Inc.
• Cardmarket is a trademark of Cardmarket Group GmbH.
• eBay is a trademark of eBay Inc.
• PSA is a trademark of Professional Sports Authenticator, LLC.
• Scryfall is a trademark of Scryfall, LLC.
• Magic: The Gathering is a trademark of Wizards of the Coast LLC, a subsidiary of Hasbro Inc.

Use of these names in Chestfolio is for factual reference (describing supported card games and data sources) and does not imply any affiliation, endorsement, or sponsorship.

11. Indemnification

You agree to indemnify and hold harmless DevFruit LLC, its officers, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your User Content, including any claim that it infringes a third party's rights; or (c) your violation of any applicable law. DevFruit LLC reserves the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with that defense.

12. Changes to These Terms

We may update these Terms as the service evolves. The "Last updated" date at the top of this page reflects the most recent revision. For material changes, we will notify registered users by email before the changes take effect. Your continued use of Chestfolio after the effective date of revised Terms constitutes your acceptance of the updated Terms.
